Introduction & Acceptance

These Terms of Service (“Terms”) govern your access to and use of the SuprX mobile application, websites, and related services (collectively, the “Platform”). The Platform is operated by Kartten Internet Private Limited (“SuprX,” “we,” “us,” or “our”).

By registering on, accessing, or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein (together, the “Agreement”). If you do not agree with this Agreement, you must not use the Platform.

If you are using the Platform on behalf of a business, organization, or other entity, you represent and warrant that you have authority to bind that entity to this Agreement and that “you” in these Terms refers to that entity.

Key Definitions

  • “Customer” / “User” means an individual using the Platform to browse, order, book, or pay.
  • “Merchant” means a restaurant, store, service provider, or other business listing goods or services on the Platform.
  • “Delivery Partner” / “Rider” / “Driver” means individuals engaged by merchants or third-party logistics partners to fulfil deliveries or trips.
  • “Order” means any request placed through the Platform for goods, services, or rides.
  • “Service Fee” means fees charged by SuprX (such as convenience fees, platform fees, delivery fees, etc.).
  • “Applicable Law” means all laws, rules, regulations, orders, and guidelines in force in India that apply to the parties and the services.

Eligibility & Capacity

  • You must be at least 18 years old and legally competent to contract under the Indian Contract Act, 1872, to use most features of the Platform.
  • By using the Platform, you represent that you are not barred under any law, order, or sanction from receiving services in India.
  • You may not allow any person under 18 to use ride or delivery services unaccompanied, where age restrictions apply.

Account Registration & Security

Account Creation

To access certain features, you may be required to create an account using your phone number, email, or social login. You agree to provide accurate and complete information and to keep it updated.

Credentials & Responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. If you suspect any unauthorized use, you must notify us promptly.

One User – One Account

You may not sell, transfer, or assign your account or any rights to use the Platform. We may require verification (e.g., OTP, KYC) before allowing access to or restoration of an account.

Nature of Platform & Services

Technology Platform

SuprX is a technology platform that enables Customers to connect with Merchants and Delivery Partners for ordering food, groceries, essentials, and other goods and services, and for booking certain mobility and local services. SuprX itself does not manufacture, prepare, or retail goods, nor does it operate transportation services.

Independent Third Parties

Merchants and Delivery Partners are independent third parties and not employees, agents, or representatives of SuprX. We do not control their operations and are not responsible for their acts or omissions, except to the limited extent required by Applicable Law.

Dynamic Pricing & Aggregator Guidelines
Where applicable, SuprX may use dynamic pricing algorithms. Subject to state transport rules and motor vehicle aggregator guidelines, fares and delivery charges may vary based on demand, location, time of day, and other factors. Any such pricing will be communicated at the time of placing the Order or booking.

Orders, Pricing & Taxes

Placing Orders

When you place an Order on the Platform, you are making an offer to purchase the selected goods or services from the relevant Merchant (or to avail a ride/service from a third-party provider). SuprX may send an Order confirmation, which indicates that the Merchant has accepted your Order.

Prices & Fees

Prices for items, delivery charges, platform fees, and applicable taxes will be displayed at checkout. Prices may differ from those offered directly by Merchants at their physical locations and may fluctuate based on time, location, and availability.

Taxes

Taxes (such as GST) may be added as per Applicable Law. Tax invoices, where applicable, may be issued by the Merchant, the underlying service provider, or by SuprX as a facilitator, as allowed under law.

Errors & Corrections

In case of manifest errors (e.g., incorrect pricing due to a technical glitch), SuprX and/or the Merchant may cancel or modify an Order and process appropriate refunds, subject to Applicable Law.

Delivery, Pickup & Time Estimates

Delivery and pickup services may be provided by Merchants, Delivery Partners, or third-party logistics providers. Estimated delivery or arrival times are only estimates and not guaranteed commitments.

  • You must be available at the specified address and time to receive the Order.
  • If you are unreachable or unavailable, the Order may be cancelled, and applicable charges may still apply.
  • In some cases, you may be required to provide an OTP or show a confirmation screen to receive the Order.

Cancellations, Refunds & Returns

User-Initiated Cancellations

Cancellation options and charges depend on the type of Order, its status, and the cancellation policy of the Merchant or service. In some cases, you may not be able to cancel once preparation or dispatch has started.

Merchant/Platform Cancellations

Orders may be cancelled by the Merchant, Delivery Partner, or SuprX due to reasons such as stock unavailability, extreme weather, safety concerns, or technical issues. In such cases, you may be eligible for a full or partial refund as per our Refund Policy and Applicable Law.

Refunds & Timelines

Refunds, where approved, will be processed to your original payment method or as credits/coupons, within reasonable timelines subject to third-party payment partners’ processes.

Returns & Quality Issues

For issues such as incorrect, damaged, or missing items, you must contact support within the prescribed time window and share relevant evidence (e.g., photos, order ID). Resolution may include replacement, partial refund, or other remedies as appropriate and subject to Merchant policies and Applicable Law.

Promotions, Offers & Credits

From time to time, SuprX may run promotional campaigns, discount codes, referral programs, or wallet/credit schemes. These may be subject to additional terms communicated separately.

  • Promotional offers are non-transferable and may be time-limited.
  • Misuse of offers (such as creating fake accounts, abuse of referral programs, or violation of terms) may result in reversal of benefits and suspension of your account.
  • SuprX reserves the right to withdraw or modify any promotion at its discretion, subject to Applicable Law.

User Content: Ratings, Reviews & Feedback

You may be able to submit ratings, reviews, comments, photos, or other content (“User Content”) on the Platform.

  • You represent that your User Content is truthful, lawful, not misleading, and does not infringe any third-party rights.
  • You grant SuprX a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, adapt, and distribute such User Content in connection with the Platform.
  • We may moderate, hide, or remove User Content that is abusive, defamatory, obscene, hateful, misleading, or otherwise violates this Agreement or Applicable Law.

Intellectual Property & License

The Platform, including its software, interfaces, graphics, logos, branding, and content (excluding User Content and third-party content), is owned or licensed by SuprX and protected by intellectual property laws.

  • SuprX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use, in accordance with this Agreement.
  • You may not copy, modify, distribute, sell, lease, reverse engineer, or otherwise exploit the Platform or any portion thereof, except as expressly permitted by Applicable Law.

Acceptable Use & Prohibited Conduct

You agree not to use the Platform for any unlawful, harmful, or abusive purposes. Without limitation, you must not:

  • Use the Platform for fraudulent activities or payment abuse.
  • Harass, threaten, or harm Merchants, Delivery Partners, support staff, or other users.
  • Interfere with or disrupt the Platform, servers, or networks, or bypass security features.
  • Scrape, crawl, data-mine, or use automated scripts or bots without our prior written consent.
  • Upload viruses, malware, or any code that may damage or interfere with systems or data.
  • Misrepresent your identity, create multiple fake accounts, or use another person’s account without permission.

Third-Party Services & Links

The Platform may contain links to third-party websites, apps, or services, including payment gateways, social logins, or external merchant portals. Such services are not under SuprX’s control, and we are not responsible for their content, policies, or practices. Your use of third-party services is subject to their own terms and privacy policies.

Network Access, Devices & Permissions

You are responsible for obtaining the data network access necessary to use the Platform and for acquiring compatible devices. Carrier data and messaging charges may apply.

Certain features may require permissions such as location, camera, storage, microphone, or contacts. You may enable or disable these through device settings. Disabling certain permissions may limit functionality.

Disclaimers

The Platform and services are provided on an “as is” and “as available” basis. Subject to Applicable Law, SuprX disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not guarantee the quality, safety, or legality of goods or services offered by Merchants or partners, except as required by law.

Limitation of Liability

To the maximum extent permitted by Applicable Law, SuprX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Platform.

In any event, SuprX’s aggregate liability, to you or any third party, shall not exceed the lower of (a) INR 5,000, or (b) the total amount paid by you through the Platform during the three (3) months immediately preceding the incident giving rise to the claim, unless a higher cap is required by Applicable Law.

Indemnity

To the extent permitted by law, you agree to indemnify, defend, and hold harmless SuprX, its directors, officers, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of this Agreement; or (c) your violation of any rights of a third party.

Suspension & Termination

We may, at our discretion and without prior notice, suspend or terminate your access to the Platform, or any part thereof, if:

  • You breach this Agreement or Applicable Law.
  • We suspect fraud, misuse, or security risk linked to your account.
  • Required by law enforcement, regulators, or court orders.

Upon termination, your right to use the Platform ceases immediately. Certain obligations (such as payment of dues, indemnity, and limitations of liability) will survive termination.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

In case of any dispute, you agree to first contact SuprX customer support and attempt to resolve the matter informally within a reasonable time.

If unresolved, disputes may be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Robertsganj, Uttar Pradesh, and proceedings shall be conducted in English. Subject to the foregoing, courts at Robertsganj, Uttar Pradesh, shall have exclusive jurisdiction.

Changes to These Terms

We may update or modify these Terms from time to time to reflect changes in law, technology, or our services. The updated Terms will be posted on the Platform with an updated “Effective” or “Last Updated” date. Where required by law, we may also notify you via in-app notification, email, or other channels. Continued use of the Platform after such updates constitutes your acceptance of the revised Terms.

Miscellaneous

  • Entire Agreement: This Agreement, together with the Privacy Policy and any supplemental terms, constitutes the entire agreement between you and SuprX.
  • Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • No Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights under this Agreement without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger or acquisition.
